3. Client Responsibilities

• Pay all fees according to the agreed-upon payment schedule
• Ensure all content provided complies with applicable laws and regulations

4. Payment Terms

Payment terms are established in individual service agreements or proposals. General terms include:

• Invoices are due within 30 days of issue unless otherwise specified
• A deposit may be required before project commencement
• Late payments may incur additional fees as specified in your agreement
• We accept payment via bank transfer, credit card, or other methods as agreed

5. Intellectual Property

Unless otherwise agreed in writing:

• All intellectual property created during the course of a project transfers to the client upon full payment
• Pre-existing tools, libraries, and frameworks used remain the property of their respective owners
• We retain the right to use general knowledge, skills, and experience gained during projects
• We may showcase completed work in our portfolio unless confidentiality is requested

6. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. This obligation survives the termination of our business relationship.

7. Limitation of Liability

To the maximum extent permitted by law, Utak West shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the total fees paid for the specific service in question.

8. Warranty Disclaimer

Our services are provided "as is" without warranties of any kind, either express or implied. While we strive for excellence in all deliverables, we do not guarantee that our services will be uninterrupted, error-free, or meet all specific requirements unless explicitly stated in a service agreement.

9. Termination

Either party may terminate services with written notice as specified in individual agreements. Upon termination:

• Outstanding fees become immediately due
• All completed work shall be delivered to the client
• Confidentiality obligations continue to apply

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law provisions.
